An interest in a PlaceMakers joint venture will only be offered to persons who are "eligible persons" (as defined in the Securities Act 1978 as "wealthy" or "experienced") or to persons who are:
- relatives or close business associates of the issuer or a director of the issuer; or
- persons whose principal business is the investment of money or persons who in the course of their business habitually invest money; or
- persons who are required to pay a subscription price of $500,000; or
- any other person who in the circumstances can properly be regarded as having been selected as otherwise than as a member of the public
PlaceMakers is under no obligation to make an offer to any person of an interest in a joint venture and reserves the right to discuss the opportunity with one or more selected persons.
Intending joint venture operators are provided with detailed information about the joint venture opportunity at an appropriate stage of the process, including information about the risks involved. Before anyone enters into a joint venture with us they are required by PlaceMakers to obtain independent legal and financial advice. In all cases PlaceMakers requires that investors obtain an "experience" certificate from an independent financial services provider, in addition to such independent legal and financial advice.
